1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Liftmetry LLC ("Liftmetry," "we," "us," or "our"), a New Mexico limited liability company, governing your access to and use of our website liftmetry.com (the "Site") and our services.

Liftmetry provides digital marketing, AI consulting, and business growth services, including but not limited to:

  • Tracking and analytics
  • Paid advertising management
  • Conversion rate optimization
  • Corporate AI training

Specific services, deliverables, timelines, and fees will be outlined in a separate service agreement or statement of work.

3. User Responsibilities

4.3 Work Product

Unless otherwise specified in a written agreement, upon full payment for our services, you will own all custom deliverables created specifically for you. We retain the right to use general methodologies, tools, and know-how developed during the engagement.

5. Confidentiality

We maintain the confidentiality of all client information and materials. We will not disclose confidential information to third parties without your consent, except as required by law or as necessary to provide our services using approved subcontractors bound by confidentiality obligations.

6. Payment Terms

Payment terms, including fees, payment schedules, and refund policies, will be specified in individual service agreements. Unless otherwise stated:

  • Invoices are due within 30 days of receipt
  • Late payments may incur interest at 1.5% per month
  • We reserve the right to suspend services for non-payment
  • All fees are non-refundable unless otherwise specified

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIFTMETRY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SITE OR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Disclaimer of Warranties

OUR SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that our services will achieve specific results. Marketing and business outcomes depend on many factors beyond our control, and past performance is not indicative of future results.

9. Indemnification

You agree to indemnify, defend, and hold harmless Liftmetry LLC, its members, managers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your violation of these Terms
  • Your use of our services
  • Your violation of any third-party rights
  • Any content or materials you provide to us

10. Termination

Either party may terminate the engagement as specified in the applicable service agreement. We reserve the right to suspend or terminate your access to our Site at any time for violation of these Terms.

Upon termination, provisions relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law shall survive.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or our services shall be resolved through binding arbitration in Albuquerque, New Mexico, in accordance with the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our Site and updating the "Last Updated" date. Your continued use of our Site or services after such changes constitutes your acceptance of the modified Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and Liftmetry LLC regarding your use of our Site and services, superseding any prior agreements.
